Welcome to Arcus AI Solutions LLC ("Arcus AI," "Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our services, including Riley (our AI voice agent), automation solutions, training workshops, and all related offerings (collectively, the "Services").
By accessing our website, submitting a form, requesting a demo, or using any of our Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services. If you are acting on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
Automated inbound call handling, appointment scheduling, message taking, call transfers, lead capture, and related communication services powered by artificial intelligence. Riley is an AI voice agent — not a human — and is designed to handle calls on behalf of your business.
Custom workflow automation, CRM integrations, and business process optimization using AI and automation tools.
Educational sessions covering AI fundamentals, prompt engineering, workflow automation, and related topics, delivered in-person or virtually.
Prospective clients may request a live demo call with Riley. Demo accounts are active for 48 hours from the time of activation. The demo is a limited-capability evaluation environment and does not represent the full features or capacity of a production deployment.
Important: Riley is an artificial intelligence (AI)-powered voice agent — not a human agent. By using our Services or interacting with Riley, you acknowledge that you may be communicating with an AI system.
Riley is designed to handle calls professionally and helpfully on your behalf, but as an AI system it may occasionally produce inaccurate, incomplete, or unexpected responses. We do not warrant that Riley will correctly handle every caller interaction or replace human judgment in all situations.
If directly and sincerely asked whether it is a human or an AI, Riley is configured to disclose its AI nature, consistent with applicable FTC guidance and emerging AI disclosure standards.
AI capabilities, behaviors, and underlying model providers may change over time as we update and improve the platform. We will communicate material changes that affect how Riley performs its core functions.
To access certain Services, you may be required to provide information about yourself or your business. You agree to:
Service fees are as displayed on our website or as quoted in writing. We reserve the right to modify pricing with 60 days' written notice to existing customers. Founding clients who have been grandfathered at a discounted rate are subject to the terms described in Section 5.
Riley is available on two plans with flexible billing terms:

Founding Rate: Clients who subscribe before May 1, 2026 are locked in at $297/mo (Starter) or $537/mo (Pro) for month-to-month billing, for as long as their account remains active and in good standing.
All contract plans (6-month and 12-month) are billed monthly at the contracted rate for the full term of the agreement. Overage usage is billed at $0.35 per minute beyond your plan's included minutes. Add-on minute packages are available for purchase separately:
A one-time Setup Fee of $300 is charged at signup for Month-to-Month and 6-Month Contract plans. This fee covers custom configuration, knowledge base setup, voice and personality calibration, calendar integration, and onboarding support. The Setup Fee is waived in full for customers who select a 12-Month Contract plan.
Setup fees are non-refundable under all circumstances, including early cancellation, plan changes, or dissatisfaction with the Service. These fees compensate for time, labor, and resources invested in building your custom solution, regardless of whether you continue using the Services after setup is complete.
Setup Fee: The one-time Setup Fee of $300 (applicable to Month-to-Month and 6-Month Contract plans; waived for 12-Month Contracts) is due at the time of signing your Service Agreement. Configuration and onboarding work will not begin until the Setup Fee is received.
First Month's Subscription Fee: Your first month's subscription fee is due on the date Riley goes live and Services become active. Arcus AI will invoice you no later than one (1) business day prior to the go-live date. Recurring monthly billing begins on that same date each subsequent month.
After the initial payment, your subscription renews automatically on your monthly billing date at the applicable rate for your plan and term. For 6-Month and 12-Month contracts, you are billed monthly at the contracted rate for the full duration of the term.
We accept major credit cards and other methods as specified at checkout. By providing your payment information, you authorize Arcus AI Solutions to charge your card for all fees described in these Terms.
Payments not received within 5 business days of the due date may result in service suspension. A late fee of 1.5% per month (or the maximum permitted by applicable law) may be applied to overdue balances.
The Founding Client Program is available to a limited number of early clients who meet our qualifying criteria and agree to the terms below.
Qualifying founding clients receive a 10% discount applied to their recurring monthly subscription fee for as long as their account remains active and in good standing. This discount:
Arcus AI reserves the right to modify pricing for new subscribers. Founding clients will retain their discounted rate subject to these terms.
As part of the Founding Client Program, participants agree to provide honest product feedback and to participate in a 60-day case study. Participation includes:
Case study participation does not require you to make any public statements or endorsements you are not comfortable with. All use of your business name, logo, or attributed quotes requires your separate written approval before publication.
Important — Please Read Carefully: If you use Riley or any Arcus AI service to contact your own customers or leads via phone or SMS, you are solely responsible for ensuring compliance with all applicable laws, including the Telephone Consumer Protection Act (TCPA), the FCC's regulations, and any applicable state laws.
Specifically, you agree that:
Arcus AI provides tools and infrastructure. You are the operator of your calling and texting campaigns. Compliance is your responsibility.
You agree to ensure that your customers and contacts are appropriately informed when they are interacting with an AI voice agent rather than a human, as required by applicable law. You shall not configure Riley to deny being an AI when sincerely asked by an end user.
Arcus AI may record demo calls and, depending on your service configuration, production calls for quality assurance, transcription, and service improvement purposes. You are responsible for ensuring that any call recording conducted through our platform complies with applicable recording consent laws in all relevant jurisdictions, including two-party consent states.
By activating call recording features, you represent that you have obtained all required consents from the parties being recorded.
Our AI Voice Agent plans are designed for typical small business inbound call handling. Fair use is generally defined as:
If your usage significantly exceeds typical patterns (such as call center operations or reselling services), we reserve the right to discuss a custom enterprise plan that better fits your needs. We will contact you before making any changes to your account due to usage.
We strive to maintain high availability for our Services but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. We are not liable for service interruptions due to:
Our Services are built on and integrated with third-party infrastructure providers, including telephony platforms, AI voice technology providers, and cloud services. By using our Services, you acknowledge that the terms and availability of those underlying platforms may affect our Services. We are not liable for failures attributable to third-party providers.
For AI Voice Agent Services, if you are not satisfied, you may request a full refund of your first month's subscription fee within 14 calendar days of your service going live (the date Riley is fully configured and activated for your business).
To request a refund, contact us at info@arcusaisolutions.com within the 14-day window with your account details and reason for cancellation.
Any ROI estimates, revenue projections, or performance figures presented on our website or in marketing materials are illustrative only, based on general industry data, and do not constitute a guarantee or promise of future earnings or results. Individual results will vary based on industry, call volume, business type, and many other factors.
Workshop fees are refundable if cancellation is made at least 7 days before the scheduled date. Cancellations within 7 days may be credited toward a future workshop at our discretion.
You agree to:
All technology, software, AI models, workflows, methodologies, training materials, and proprietary systems we develop remain the exclusive intellectual property of Arcus AI Solutions LLC. You receive a limited, non-exclusive, non-transferable license to use the Services during your active subscription.
You retain ownership of your business data, branding, scripts, and content. You grant us a limited license to use this content solely to provide and improve the Services for your account.
Unless explicitly agreed otherwise in a separate written agreement, custom integrations and workflows developed for you may incorporate our proprietary methods and architecture. The specific business configurations (your scripts, greetings, business data) remain yours; the underlying platform technology remains ours.
We will maintain the confidentiality of your business information and will not disclose it to third parties except:

You agree to indemnify, defend, and hold harmless Arcus AI Solutions LLC, its members, managers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
These Terms remain in effect while you use our Services. Subscriptions continue on the selected billing cycle until cancelled by either party.
You may cancel your subscription at any time by providing written notice to info@arcusaisolutions.com or through your customer portal. Cancellation takes effect at the end of the current billing period. Cancellation requests must be received at least 5 business days before your next billing date to avoid the next charge. No refunds are provided for partial months beyond the 14-day satisfaction guarantee window.
Customers on 6-Month or 12-Month contract plans who cancel before the end of their term will be charged a flat early termination fee of $199.00.
We may suspend or terminate your access to Services immediately, without notice, if you:
Upon termination, your access to Services will cease. We may retain certain data as required by law or legitimate business purposes. Provisions that by their nature should survive termination — including Sections 6, 12, 14, 15, and 17 — will remain in effect.
Any disputes arising from these Terms or the Services shall first be addressed through good-faith negotiation. If negotiation does not resolve the dispute within 30 days, disputes shall be resolved through binding arbitration in the State of Oklahoma, in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.
Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis only. You waive any right to bring or participate in a class action, collective action, or representative proceeding against Arcus AI.
These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Oklahoma.
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through a notice on the Services at least 30 days before changes take effect. Continued use of the Services after the effective date constitutes acceptance of the modified Terms. If you do not agree with the changes, you may cancel your subscription before the effective date.
